Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the OneSky Sourcing website and any related pages, forms, and scheduling links (collectively, the “Site”).

The Site is operated by Avocado Toast Ltd., operating as OneSky Sourcing, (“OneSky,” “we,” “us,” or “our”). By accessing or using the Site, you agree to these Terms.

If you do not agree, do not use the Site.

1. The Site is informational only; no services are provided via the Site

The Site is provided for general information about OneSky and to allow prospective customers and partners to contact us. Using the Site does not create a client, advisory, fiduciary, or other professional relationship between you and OneSky.

Any services we provide (e.g., product sourcing, supplier vetting, quality assurance, logistics coordination) are provided only under a separate written agreement (such as an NDA, MSA, SOW, or similar document) signed by you and OneSky.

2. No offer or guarantee

Content on the Site is not an offer to provide services on specific terms, and it should not be relied on as a promise of outcomes. Any references to savings, lead times, supplier availability, capabilities, or results are illustrative only and may vary by product, market conditions, order volume, compliance requirements, and other factors.

3. Eligibility and acceptable use

You agree that you will:

  • Use the Site only for lawful purposes and in compliance with applicable laws;

  • Not misuse the Site, including attempting to interfere with its operation or security;

  • Not scrape, crawl, or use automated means to access the Site in a way that burdens or disrupts it (except as permitted by applicable law);

  • Not introduce malware or attempt unauthorized access to the Site or our systems.

We may suspend or block access to the Site at any time if we believe your use violates these Terms.

4. Intellectual property

The Site and its content (including text, graphics, logos, design, and overall look-and-feel) are owned by OneSky or its licensors and are protected by intellectual property laws. No rights are granted except as necessary to access and use the Site for its intended purpose.

You may not copy, reproduce, distribute, or create derivative works from the Site or its content without our prior written consent, except where permitted by law.

5. Submissions are not confidential; do not send sensitive information

If you submit information through the Site (including via contact forms, scheduling links, email, or otherwise) (“Submissions”), you agree that:

  • Submissions are not confidential unless and until a separate written confidentiality agreement (e.g., an NDA) is executed between you and OneSky;

  • You will not send sensitive information through the Site, including trade secrets, detailed product designs, proprietary supplier lists, or other confidential business information, unless we have a signed NDA in place;

  • You represent that you have the right to share the information you submit and that doing so does not violate any third-party rights or obligations.

We may use Submissions to evaluate and respond to your inquiry, operate our business, and improve our services, consistent with our Privacy Policy.

6. Privacy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. Please review it carefully.

7. Third-party services and links

The Site may include integrations or links to third-party services (e.g., scheduling tools, analytics, embedded content) and third-party websites. We do not control third parties and are not responsible for their content, policies, or practices. Your use of third-party services is governed by their terms and policies.

8. Disclaimers

THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, ONESKY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ONESKY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ONESKY’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SITE SHALL NOT EXCEED USD $100 (OR THE EQUIVALENT IN LOCAL CURRENCY).

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

10. Indemnity

You agree to defend, indemnify, and hold harmless OneSky and its directors, officers, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your misuse of the Site, (b) your violation of these Terms, or (c) your Submissions.

11. Changes to the Site and Terms

We may update the Site and these Terms from time to time. The “Effective Date” above indicates when these Terms were last updated. Your continued use of the Site after changes become effective constitutes acceptance of the updated Terms.

12. Governing law; venue

These Terms are governed by the laws of the State of Israel, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the courts located in Tel Aviv–Yafo, Israel, and you consent to their jurisdiction and venue.

For clarity, any services we provide are governed solely by the separate written agreement signed for those services.
